ReDiY Terms of Service

TERMS OF SERVICE

1. Acceptance of Terms

By accessing or using ReDiY's website, mobile applications, or related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Services.

2. Eligibility

You must be at least 18 years old to use the Services. If you are under 18, you may use the Services only with verifiable parental consent in accordance with the Children's Online Privacy Protection Act (COPPA). We do not knowingly collect or store personal information from children under 13.

3. Description of Services

ReDiY provides marketing tools, digital media, and educational resources to help homeowners promote and manage the marketing of their properties. ReDiY is not a licensed real estate brokerage, does not act as an agent, and does not represent buyers or sellers in real estate transactions.

Services may include:

Creation of digital and print marketing materials (e.g., flyers, websites, QR codes, yard signs)

• Listing promotion tools and analytics
• Access to integrated or third-party media and marketing providers
• MLS syndication and property listing support
• Market Snapshot (comparable sales data for educational purposes only — not an appraisal)
• The complete and definitive scope of services is described in "The Starting Line" service sheet, provided to the seller at the time of signing and incorporated into the ReDiY Service Agreement.

ReDiY provides educational and operational guidance only. ReDiY does not provide licensed real estate advice. All pricing, negotiation, and closing decisions remain with the seller.

4. User Responsibilities

You agree to:

Provide accurate, current, and complete information at all times

• Comply with all applicable laws and regulations, including fair housing and advertising standards
• Maintain the confidentiality of your login credentials
• Assume full responsibility for content or media you upload or authorize to be uploaded on your behalf
• Use the ReDiY Visitor Form and other provided tools in accordance with their intended purpose
• If you purchase or provide property media (such as photography, video, or 3D tours), you are responsible for ensuring that you have full rights to use and license that media.

5. Media Licensing & Use

All photos, videos, renderings, floor plans, and other creative assets ("Media") uploaded, submitted, or produced through ReDiY — whether provided by you, created by a third-party photographer, or commissioned through Buyer Reach, LLC — are governed by the following license terms:

You grant Buyer Reach, LLC, its affiliates, successors, and ReDiY a perpetual, worldwide, non-exclusive, transferable, sub-licensable, royalty-free license to use, reproduce, modify, adapt, publish, display, distribute, and create derivative works from the Media for any lawful purpose, including but not limited to marketing, advertising, resale, portfolio display, product development, or analytics.

Ownership of the original Media remains with you or your photographer; however, Buyer Reach, LLC retains the right to use and monetize such Media indefinitely, even after account closure or termination of Services.

You represent and warrant that you have obtained all necessary permissions and releases to grant this license, including from photographers, contractors, or individuals depicted in the Media.

Buyer Reach, LLC reserves the right to remove, decline to host, or restrict use of any Media that violates law, third-party rights, or these Terms.

6. Third-Party Services

Our Services may include integrations with third-party providers (e.g., photographers, social platforms, listing services, showing services, lockbox providers, or QR code services). We are not responsible for the content, policies, or actions of these third parties. Use of their services is governed by their own terms.

7. Disclaimers

The Services are provided "as is" and "as available." Buyer Reach, LLC and ReDiY make no representations or warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or reliability. You use the Services at your own risk.

ReDiY provides educational and operational guidance only. ReDiY does not provide licensed real estate, legal, or tax advice. Sellers should consult licensed professionals for advice on pricing, negotiation, legal, or tax matters.

The Market Snapshot provided by ReDiY is educational comparable sales data only. It is not an appraisal, a comparative market analysis (CMA), or a professional opinion of value. Sellers should consult a licensed appraiser for a formal valuation.

8. Limitation of Liability

To the fullest extent permitted by law, Buyer Reach, LLC, ReDiY, and their affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, loss of data, or service interruption, arising out of or related to your use of the Services or Media.

Our total aggregate liability for all claims shall not exceed the total amount you paid (if any) for Services in the preceding 30 days.

9. Indemnification

You agree to indemnify and hold harmless Buyer Reach, LLC, ReDiY, and their officers, employees, contractors, and agents from and against any claims, damages, liabilities, or expenses arising out of your violation of these Terms, misuse of the Services, or infringement of intellectual property rights.

10. Data & Privacy

All personal information collected through our Services is governed by our Privacy Policy. By using our Services, you consent to our data-collection and use practices as described therein. You may withdraw consent or request deletion of your data by emailing support@rediy.co. Request will be processed within 30 days, subject to record-keeping or legal obligations.

11. Modifications to Terms or Services

Buyer Reach, LLC may update these Terms at any time. Updates take effect when posted with a revised effective date. Continued use of the Services after any modification constitutes acceptance of the revised Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute shall be resolved exclusively in the state or federal courts located in Bexar County, Texas.

13. Cancellation and Refund Policy

All fees paid to ReDiY are earned upon payment and are non-refundable. Once a seller signs up, ReDiY immediately incurs costs including but not limited to yard sign production, URL registration, and marketing setup. Refunds will be considered only on a case-by-case basis at the sole discretion of ReDiY.

14. Licensed Partner Relationship

ReDiY partners with a licensed Texas real estate agent to handle any activities requiring licensure under the Texas Real Estate License Act (TRELA). That partner agent does not act as a traditional listing agent and does not represent the seller in the conventional sense. This structure allows ReDiY to operate as a marketing platform. The seller remains the principal party in all transaction decisions.

Before any MLS listing or TRELA-required activity occurs, the seller must sign a separate Third-Party Agent Authorization disclosing the licensed agent's name, license number, and scope of duties.

15. FOR SALE BY OWNER Disclosure

The seller is acting as their own seller in the transaction. ReDiY is a marketing platform and is not a party to the purchase agreement, negotiation, or closing. The seller retains full control over pricing, offer acceptance, contingencies, and all other transaction decisions.

16. Fair Housing and Prohibited Conduct

ReDiY supports fair housing and complies with all applicable federal, state, and local fair housing laws. You agree that you will not:

Use the Services to discriminate against any buyer or potential buyer on the basis of race, color, religion, sex, national origin, disability, familial status, or any other protected characteristic

• Use the Services to violate the Fair Housing Act or any similar state or local law
• Post, upload, or communicate any content that violates fair housing laws
• Violation of this section constitutes a material breach of these Terms. ReDiY reserves the right to immediately terminate your access to the Services, remove your listing, and retain all fees paid, without refund, if you violate this section.

17. Technical Failures and Hold Harmless

ReDiY uses third-party providers for website hosting, MLS syndication, payment processing, and other technical services. From time to time, technical failures, site outages, or third-party service interruptions may occur.

You agree that ReDiY and Buyer Reach, LLC shall not be held liable for any loss, damage, or delay resulting from:

Website or server outages

• Third-party service provider failures
• Internet connectivity issues
• Acts of God, natural disasters, or other force majeure events
• Errors or delays caused by MLS systems or syndication partners
• You assume the risk of technical interruptions inherent in any online service.
